Terms of Service

Welcome to WhyNot. These Terms of Service ("Terms") govern your access to and use of the WhyNot mobile application ("App") operated by WhyNot ("we," "our," or "us"). By creating an account or using WhyNot, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old to use WhyNot. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. We may require age verification and reserve the right to terminate accounts that violate this requirement.

2. Account Registration

To use WhyNot, you must create an account using a valid phone number. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your profile information
• Keep your account credentials secure and not share access with others
• Notify us immediately of any unauthorized use of your account
• Use only one account per person

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

3. User Conduct

WhyNot is built on trust and respect. By using the App, you agree to:

• Treat all users with respect and courtesy
• Show up to plans you've committed to attend
• Provide honest and fair reviews and ratings
• Use the App only for its intended purpose of social planning

• Harass, bully, intimidate, or threaten other users
• Post content that is offensive, discriminatory, hateful, or sexually explicit
• Create fake profiles, impersonate others, or misrepresent your identity
• Use WhyNot for any commercial purpose, solicitation, or advertising
• Spam other users with unwanted messages or requests
• Attempt to collect personal information from other users for unauthorized purposes
• Use the App to facilitate any illegal activity
• Interfere with or disrupt the App's functionality, servers, or networks
• Circumvent, disable, or interfere with security features of the App
• Use automated tools, bots, or scripts to access or interact with the App

Violation of these rules may result in warnings, temporary suspension, or permanent ban from WhyNot at our sole discretion.

4. Plans and Meetups

WhyNot facilitates connections between users for social plans. Please understand that:

• We do not organize, host, or supervise any plans or meetups
• Hosts are responsible for the details and management of their plans
• Participation in any plan is entirely at your own risk
• We are not liable for any interactions, disputes, or incidents that occur at meetups
• You are responsible for your own safety when meeting people in person

5. Reliability System

WhyNot uses a reliability scoring system to encourage accountability:

• Hosts can mark attendance for plan participants
• Participants can confirm their own attendance and flag no-shows
• Reliability scores are calculated based on attendance history
• Consistently failing to show up to plans you've joined will lower your reliability score
• Low reliability scores may limit certain features or visibility

The reliability system is designed to build community trust. We reserve the right to modify how scores are calculated at any time.

6. Reviews and Ratings

After a plan, users may review and rate other participants. By leaving a review, you agree that:

• Reviews must be honest, fair, and based on your actual experience
• Reviews must not contain personal attacks, hate speech, or inappropriate content
• We reserve the right to remove reviews that violate these guidelines
• Reviews are visible to other users and contribute to overall ratings

7. User Content

You retain ownership of content you post on WhyNot (including profile photos, plan descriptions, and chat messages). By posting content, you grant WhyNot a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the App for the purpose of providing our services.

You are solely responsible for the content you post and must ensure it does not violate any laws or the rights of third parties. We may remove any content that violates these Terms without notice.

8. Intellectual Property

The WhyNot App, including its design, features, code, logos, and trademarks, is owned by WhyNot and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the App or its content without our prior written consent.

9. Account Deletion

You may delete your account at any time through the App (Profile → Danger Zone → Delete Account). Upon deletion:

• Your profile and personal data will be permanently deleted within 30 days
• Your plans will be cancelled and participants notified
• Your reviews will be anonymized
• Chat messages will be removed
• This action is irreversible

We may also terminate or suspend your account at any time for violations of these Terms, with or without notice.

10. Disclaimers

WhyNot is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• Any information provided by other users is accurate or reliable
• The App will meet your specific requirements or expectations

We do not perform background checks on users and cannot guarantee the identity, intentions, or behavior of any user. You use WhyNot at your own risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law, WhyNot and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, personal injury, or property damage arising from:

• Your use of or inability to use the App
• Any interactions or meetups arranged through the App
• Unauthorized access to your account or data
• Any conduct of third parties on the App

Our total liability to you for any claims arising from or related to these Terms or the App shall not exceed the amount you paid to WhyNot in the twelve (12) months preceding the claim, or €50, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless WhyNot and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of another person or entity.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of WhyNot shall be resolved in the competent courts of Zagreb, Croatia.

For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms within the App and updating the effective date. Your continued use of WhyNot after such changes constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the App and delete your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
